Welcome to SIPSOPA. The terms “we”, “us” and “our” refer to SIPSOPA, LLC. We operate this website and online store, including all information, content, features, tools, products, subscriptions, and services (collectively, the “Services”). Our Store is powered by Shopify, which enables SIPSOPA to provide the Services to you.

These Terms of Service (the “Terms”) form a binding agreement between you and SIPSOPA. By accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy located at https://sipsopa.com/policies/privacy-policy. If you do not agree, do not use the Services.

SECTION 1 – ACCESS AND ACCOUNT
By using the Services, you represent that you are at least the age of majority in your state or province of residence, or that you are at least 13 years old and using the Services with the consent of a parent or legal guardian. You are responsible for ensuring that any minor dependents who use devices you own or manage do so in compliance with these Terms.

To use the Services, including to make purchases, you may be required to provide accurate and complete information, including email, billing, payment, and shipping details. You represent and warrant that all information you submit is correct and that you have all rights and authority to provide it.

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You may not transfer or assign your account to any other person.

SECTION 2 – OUR PRODUCTS
We work to display our products accurately, but product appearance may differ depending on your device, settings, and screen variations. We do not guarantee that your device’s display will accurately reflect the products.

All product descriptions, pricing, availability, and specifications may be changed at any time without notice. We may discontinue or limit products at our discretion.

SECTION 3 – ORDERS

When you place an order, you submit an offer to purchase. SIPSOPA reserves the right to accept or reject any order for any reason. An order is accepted only when SIPSOPA issues an order confirmation, and payment has been received and processed.

Please review your order carefully before submitting. After acceptance, SIPSOPA may not be able to cancel or modify an order. If an order cannot be accepted, modified, or must be canceled, SIPSOPA will attempt to notify you using the contact information provided.

All purchases are subject to SIPSOPA’s Shipping & Returns Policy, which is incorporated into these Terms by reference.

SECTION 4 – PRICES AND BILLING
Prices are subject to change without notice. The price in effect when your order is placed will apply and will appear in your confirmation email. Unless stated otherwise, posted prices exclude taxes, shipping, handling, customs, duties, and other charges.

Prices in the online store may differ from prices in physical or third-party stores.

You agree to provide current, complete, and accurate payment and account information for all transactions. You agree to promptly update your information, including credit card data and expiration dates, so we can complete your transactions.

You represent and warrant that: (i) the payment information you provide is true, correct, and complete; (ii) you are authorized to use the payment method; and (iii) you will pay all charges incurred, including taxes, shipping, and any applicable fees.

SECTION 5 – SHIPPING AND DELIVERY
Delivery times are estimates only and are not guaranteed. SIPSOPA is not responsible for delays caused by carriers, weather conditions, holidays, customs, or events outside of our reasonable control.

Risk of loss and title to products pass to you once the products are transferred to the carrier. All matters related to shipping issues, delivery disputes, refunds, and replacements are governed exclusively by SIPSOPA’s Shipping & Returns Policy.

SECTION 6 – INTELLECTUAL PROPERTY
All content in the Services, including trademarks, text, graphics, images, audio, video, logos, and design elements, is owned by SIPSOPA or its licensors and is protected by intellectual property laws.

You may use the Services only for personal, non-commercial purposes. You may not reproduce, distribute, modify, create derivative works, publicly display, publicly perform, republish, store, or transmit any content without our prior written permission.

SIPSOPA’s names, logos, product names, and designs are trademarks of SIPSOPA, LLC. You may not use our trademarks without written permission.

Shopify’s names and trademarks belong to Shopify Inc. All other trademarks belong to their respective owners.

SECTION 7 – OPTIONAL TOOLS
We may provide access to third-party tools we do not control. You acknowledge these tools are provided “as is” without warranties or responsibility. Your use of optional tools is entirely at your own risk.

SECTION 8 – THIRD-PARTY LINKS
The Services may contain third-party materials or links. We are not responsible for examining or evaluating third-party content and do not warrant or endorse it. Your interactions with third parties are at your own risk. Review all third-party policies before engaging in transactions.

SECTION 9 – RELATIONSHIP WITH SHOPIFY
SIPSOPA is powered by Shopify. However, all purchases are made directly from SIPSOPA. Shopify is not responsible for any aspect of your transactions. You expressly release Shopify and its affiliates from all claims arising from your purchases or interactions with SIPSOPA.

SECTION 10 – PRIVACY POLICY
Personal information we collect is governed by our Privacy Policy at https://sipsopa.com/policies/privacy-policy. Because the Store is hosted on Shopify, Shopify also collects and processes certain personal information under its own Privacy Policy.

Information you submit may be transmitted to Shopify and third-party service providers, which may be located outside your country. By using the Services, you acknowledge the handling of your information as described in these policies.

SECTION 11 – FEEDBACK
If you submit feedback, suggestions, ideas, reviews, or other content (“Feedback”), you grant SIPSOPA a perpetual, worldwide, royalty-free, sublicensable license to use, reproduce, modify, publish, distribute, and display such Feedback for any purpose.

You represent and warrant that you own or control the rights to your Feedback, that the Feedback does not violate any law or rights of others, and that any incentives or compensation have been disclosed.

We may, but are not obligated to, monitor or remove Feedback that is unlawful, offensive, defamatory, obscene, or otherwise objectionable.

SECTION 12 – ERRORS, INACCURACIES, AND OMISSIONS
Occasionally, information in the Services may contain typographical errors, inaccuracies, or omissions relating to product details, pricing, promotions, shipping charges, transit times, or availability. We reserve the right to correct errors and update information or cancel orders without notice.

SECTION 13 – PROHIBITED USES
You may not use the Services for any unlawful, abusive, fraudulent, harmful, or malicious purpose. You agree not to violate laws; infringe rights; harass or harm others; transmit malware; impersonate others; upload false or misleading information; circumvent security; scrape the Services; collect personal data unlawfully; or interfere with the operation of the Services.

We may terminate or suspend your access to the Services at any time without notice. You remain responsible for all amounts due before termination.

Sections that logically survive termination will continue in effect, including Intellectual Property, Feedback, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, Arbitration, Class Action Waiver, and any other provisions intended to survive.

SECTION 15 – DISCLAIMER OF WARRANTIES
Except as expressly stated by SIPSOPA, the Services and all products are provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title, durability, accuracy, non-infringement, or uninterrupted service.

Your use of the Services is at your own risk. Some jurisdictions do not allow limitations on implied warranties, so these limitations may not apply to you.

SECTION 16 – LIMITATION OF LIABILITY
To the fullest extent permitted by law, in no event shall SIPSOPA, its owners, directors, officers, employees, agents, partners, contractors, service providers, licensors, or Shopify and its affiliates be liable for any indirect, incidental, consequential, punitive, or special damages, including lost profits, lost revenue, lost savings, data loss, replacement costs, or similar damages arising from your use of the Services or products, even if advised of the possibility of such damages.

SECTION 17 – INDEMNIFICATION
You agree to indemnify and hold harmless SIPSOPA, Shopify, and their affiliates, officers, directors, employees, agents, contractors, and licensors from any claims or demands arising from your use of the Services, your breach of these Terms, or your violation of any law or third-party rights.

SECTION 18 – FORCE MAJEURE
SIPSOPA is not liable for any delay or failure to perform due to events outside our reasonable control, including natural disasters, labor disputes, supply chain failures, pandemics, war, terrorism, power outages, or governmental actions.

SECTION 19 – SEVERABILITY
If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.

SECTION 20 – WAIVER; ENTIRE AGREEMENT
Our failure to enforce any right or provision is not a waiver of that right. These Terms, together with posted policies, constitute the entire agreement between you and SIPSOPA regarding the Services.

SECTION 21 – ASSIGNMENT
You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

SECTION 22 – GOVERNING LAW
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Any dispute shall be brought exclusively in the state courts located in Broward County, Florida, or the federal court for the Southern District of Florida, and you consent to personal jurisdiction in those courts.

SECTION 23 – ARBITRATION AGREEMENT
At SIPSOPA’s sole discretion, any dispute arising from these Terms or your use of the Services may be resolved through binding arbitration before a single arbitrator under the rules of the American Arbitration Association. You agree to submit to arbitration if elected by SIPSOPA.

SECTION 24 – CLASS ACTION WAIVER
You agree that any claims will be brought only in your individual capacity and not as part of a class or representative proceeding. You waive the right to participate in any class, collective, or representative action.

SECTION 25 – CHANGES TO TERMS
You can review the most current version of the Terms at any time on this page. We may update these Terms at any time by posting changes to our website. Material changes will be communicated as required by law. Continued use of the Services constitutes acceptance of the updated Terms.
